Jakarta, Indonesia Sentinel — Indonesia’s retail giant PT Sumber Alfaria Trijaya Tbk (AMRT), the operator of the Alfamart convenience store chain, has officially acquires the majority stake in Lawson Indonesian franchise.
AMRT purchased 1.48 billion shares in PT Lancar Wiguna Sejahtera, the company operating Lawson stores in Indonesia for a total transaction value of Rp200.45 billion (approximately $12.5 million), or Rp135 per share. The shares were acquired from PT Midi Utama Indonesia Tbk (MIDI).
The acquisition was disclosed through a filing with the Indonesia Stock Exchange (BEI) on Wednesday, May 14, 2025. Following the deal, AMRT now holds a 70% ownership stake in PT Lancar Wiguna Sejahtera, effectively transferring majority control of the Lawson brand in Indonesia.
According to AMRT Corporate Secretary Tomin Widian, the acquisition does not constitute a conflict of interest and therefore does not require shareholder approval.
“This transaction is not considered a conflict of interest under OJK Regulation 42/2020 and does not fall under material transaction criteria as stated in OJK Regulation 17/2020,” Widian stated in the disclosure, cited Thursday (May 15).

Lawson, a Japanese convenience store brand known for its ready-to-eat meals and dine-in concept, entered the Indonesian market on July 31, 2011, through a partnership with MIDI. In March 2018, Lawson Indonesia was established as a standalone business entity under the name PT Lancar Wiguna Sejahtera and began independent operations later that year.
While MIDI remains affiliated with Indonesian retail tycoon Djoko Susanto, who also owns Alfamart, Lawson’s position within the corporate structure has shifted. Previously a subsidiary of MIDI, Lawson will now operate as a direct subsidiary of AMRT following the acquisition.
The acquisition aligns with Alfamart strategy to adapt to the country’s rapidly evolving retail landscape and consumer behavior. The move is expected to bolster AMRT’s ready-to-eat (RTE) offerings and strengthen its position in the growing convenience food segment.
By adding Lawson to its portfolio, Alfamart aims to expand its market reach and offer a wider range of innovative products tailored to the modern Indonesian consumer.
